Initial public offer of up to 45,97,200* equity shares of face value of Rs. 10 each ("Equity Shares") of HP Adhesives Limited ("Company") for cash at a price of Rs. 274/- per equity share (including a share premium of Rs. 264/- per equity share) ("Offer Price") aggregating up to Rs. 125.96 crore comprising a fresh issuance of up to 41,40,000 equity shares aggregating up to Rs. 113.44 crores by the company ("Fresh Issue") and an offer for sale of up to 4,57,200 equity shares aggregating up to Rs. 12.53 crores by Anjana Haresh Motwani ("Selling Shareholder") and such equity shares offered by the selling shareholder, the "Offered Shares") (such offer by the selling shareholder, the "Offer for Sale" and together with the fresh issue, the "Offer"). The offer would constitute 25.02% of the post- offer paid-up equity share capital of the company. *Subject to the finalization of basis of allotment. The face value of equity shares is Rs. 10 each. The offer price is 27.4 times the face value of the equity shares. Bids can be made for a minimum of 50 equity shares and in multiples of 50 equity shares thereafter.
