Initial public offering of 9,905,157 equity shares of face value of Rs. 10 each ("equity shares") of Ircon International Limited (the "company" or the "issuer") through an offer for sale by the President of India, acting through the Ministry of Railways, Government of India (the "selling shareholder"), for cash at a price* of Rs. 475 per equity share ((including a share premium of Rs. 465 per equity share) (the "offer price"), aggregating to Rs. 466.94# Crores (the "offer"). The offer includes a reservation of up to 500,000 equity shares for subscription by eligible employees (as defined herein) ("employee reservation portion"). The offer less employee reservation portion is referred to as the net offer. The offer and the net offer shall constitute 10.53% and 10.00% respectively, of the post offer paid-up equity share capital of the company. *Retail Discount of Rs. 10 per Equity Share on the Offer Price was offered to the Retail Individual Bidders and Employee Discount of Rs. 10 per Equity Share on the Offer Price was offered to the Eligible Employees Bidding in the Employee Reservation Portion. #Subject to finalization of Basis of Allotment The face value of the equity shares is Rs. 10 each. The offer price is 47.5 times the face value of the equity shares.
