Initial public offering up to (*) equity shares of face value of Rs 10 each (the "equity shares") of the ("company") for cash at a price of Rs (*) per equity share (including a premium of Rs (*) per equity share) (the "offer price") aggregating up to Rs (*) crores consisting of a fresh issue of up to (*) equity shares of the company aggregating up to Rs 215 Crores (the "fresh issue") and an offer sale up to 900000 equity shares aggregating up to (*) million ("Offered shares") by New York Life Investment Management India Fund (FVCI) II LLC (the "selling shareholder" and such offer of equity shares by the selling shareholder, the "offer for sale"). The fresh issue and the offer for sale are together referred up to as the "offer". The offer will constitute (*) % of the fully-diluted post-offer paid-up equity share capital of the company. The face value of the equity shares is Rs 10 each. The price band, any retail discount* and the minimum bid lot will be decided by our company and the selling shareholder in consultation with the book running lead manager (The "BRLMs")

Apparels Limited ("company") for cash at a price of Rs. 268 per equity share (including a premium of Rs. 258 per equity share) (the "offer price") aggregating Rs. 239.12 crores consisting of a fresh issue of 8,022,388 equity shares by the company aggregating up to Rs. 215.00 crores (the "fresh issue") and an offer for sale of 900,000 equity shares aggregating Rs. 24.12 crores by New York Life Investment Management India Fund (FVCI) II LLC (the "selling shareholder" and such offer of equity shares by the selling shareholder, the "offer for sale"). The fresh issue and the offer for sale are together referred to as the "offer". The offer will constitute 35.45% of the fully-diluted post-offer paid-up equity share capital of the company.
