Prafful Agarwal and Anupam Gupta to acquire 56.07% of Frontier Capital Limited for Rs 10 per share

Frontier Capital Limited said Mr. Prafful Agarwal and Mrs. Anupam Gupta have entered into a Share Purchase Agreement dated October 13, 2026, to acquire 56.07% of the company’s equity and voting share capital from existing promoters, Mr. Anirudh Bhuwalka and M/s. Inimitable Capital Finance Private Limited, for Rs 10 per share. As a result of the acquisition, the Acquirers will exceed the threshold limit under SEBI regulations and will make an Open Offer for an additional 26.00% of the company’s equity and voting share capital at a price of Rs 10.20 per share. Following the transaction, the Acquirers will gain control of Frontier Capital Limited and become its promoters.
