Frontier Capital Limited’s equity to be acquired by Prafful Agarwal and Anupam Gupta for Rs 10 per share

Frontier Capital Limited announced that Prafful Agarwal and Anupam Gupta have entered into a Share Purchase Agreement dated October 13, 2026, with promoters Anirudh Bhuwalka and Inimitable Capital Finance Private Limited to acquire 56.07% of the company's equity and voting share capital, or 93,98,455 shares, for Rs 10 per share. As a result of the acquisition, the Acquirers will exceed the threshold limit under SEBI regulations and will make an Open Offer for an additional 43,58,163 shares, representing 26.00% of the total equity and voting share capital, at a price of Rs 10.20 per share. Following the transaction, the Acquirers will gain control of Frontier Capital Limited and become its promoters.
