A court has sanctioned a Scheme of Arrangement that will merge Augmento Labs Private Limited into its parent company, leading to the dissolution of Augmento Labs and the transfer of its assets, liabilities, and obligations to the parent company. The scheme, deemed beneficial to shareholders, will become effective April 1, 2026, with employees of Augmento Labs transitioning to the parent company without interruption. The total consideration for the acquisition is Rs 97.5 crore, with the parent company having reportedly paid the full amount, including deferred payments. The court has requested clarification on the payment schedule for any remaining deferred consideration, initially expected by June 2026, and emphasized that the order does not provide exemptions from stamp duty or other legal requirements.
