Vadilal Industries Limited is seeking shareholder approval to renew a distribution agreement with its related party, Vadilal Enterprises Limited (VEL), to ensure the continuity of its business operations. The renewed agreement, valued at approximately Rs 1,426 crore (about $172 million USD), will span 12 months and follows the expiration of the current agreement in September 2026. VEL, in which Vadilal Industries holds 150 shares, is considered a related party due to shared directors and ownership, necessitating shareholder approval under regulations governing related-party transactions. VEL reported a turnover of Rs 1,217 crore and a profit after tax of Rs 10.45 crore in fiscal year 2026, and sales to VEL already totaled approximately Rs 512.99 crore in the current fiscal year’s first quarter. The pricing for products sold under the new agreement will be determined on an arm’s length basis.
