JSW Cement to merge Shiva Cement, a subsidiary, in a scheme of arrangement

JSW Cement Limited announced that its board approved a scheme of arrangement with Shiva Cement Limited, involving the amalgamation of Shiva Cement into JSW Cement and a reorganization of reserves. Shiva Cement, in which JSW Cement holds a 66.23% stake, will be merged into JSW Cement, with shareholders of Shiva Cement receiving 5 equity shares in JSW Cement for every 41 shares held in Shiva Cement. The amalgamation is expected to create synergies, optimize raw material procurement, and enhance shareholder value, and is subject to regulatory approvals including the National Company Law Tribunal.
