ACI Infocom seeks approval for allotment of shares and warrants to investors

ACI Infocom Limited is proposing a preferential allotment of up to 3,200,000 equity shares and 29,480,000 warrants to a group of investors at a price of Rs. 1.53 per share or warrant. The price, which includes a 5% control premium, was determined through various valuation methods, with an independent valuation report from Krishna Chaitanya Janga setting the price at Rs. 1.53. Sanjay Natvarlal Mandavia and Rupal Sanjay Mandavia, currently classified as non-promoters, will transition to promoter and promoter group status following the allotment. The company confirmed that none of its directors or promoters are willful defaulters, fraudulent borrowers, or fugitive economic offenders, and has obtained a certificate from M/s. Rawal & Co. confirming compliance with SEBI regulations. The Independent Directors' Committee unanimously recommended the allotment, and shareholder approval via a special resolution will be required.
