ACI Infocom issues warrants and shares, introducing Mandavia as new promoters with a 23.61% stake

ACI Infocom Limited announced on August 10, 2026, a series of preferential allotments of warrants and shares that will significantly alter the company’s ownership structure, introducing Sanjay and Rupal Mandavia as new promoters. The company issued up to 29.48 million warrants at Rs. 1.53 each and up to 3.2 million shares at the same price to 23 entities, with Rupal Mandavia receiving the largest allocations of 10 million warrants and 10.33 million shares. Upon full conversion, Rupal Mandavia’s stake will increase to 23.61% from a previous 2.86%. The warrant conversion, which requires a 75% upfront payment, is contingent on the completion of an open offer to existing shareholders, as mandated by SEBI regulations. This infusion of capital will increase the company’s paid-up capital and trigger an open offer, while also providing a pathway for future share dilution through warrant conversion.
