Kuber Udyog Limited is set to undergo a significant acquisition, announced August 7, 2026, involving a public offer and preferential allotment of shares. The acquirers, Manav Bahri, Dinesh Popli, and Ajay Dutta, will directly acquire 7,62,85,000 equity shares, representing 62.04% of the expanded voting share capital, for a total consideration of Rs 176.225 crore. Additionally, the company will issue 12 lakh convertible warrants to the acquirers and Trimudra Trade & Holdings Private Limited, a Promoter and Allied Company, for Rs 2.772 crore in cash. Following the transaction, Bahri will hold 31.38% of the shares, with Popli and Dutta each holding 15.69%, and Trimudra Trade & Holdings holding 0.24%. The Open Offer is subject to regulatory approvals and may be adjusted, with the Detailed Public Statement expected to be published on or before August 13, 2026.
