Clean Max Enviro Energy seeks amalgamation with four subsidiaries, pending regulatory approvals

Clean Max Enviro Energy Solutions Limited, formerly known as Clean Max Enviro Energy Solutions Private Limited, announced a composite scheme of amalgamation with its wholly-owned subsidiaries Clean Max Aditya Power Private Limited, Clean max IPP 1 Private Limited, CMES Power 1 Private Limited, and CMES Infinity Private Limited, under Sections 230 to 232 of the Companies Act, 2013. The amalgamation aims to consolidate the businesses of the subsidiaries, achieve operational efficiencies, and simplify the group's holding structure, with the transaction not involving the issuance of new shares or payment of consideration due to the wholly-owned nature of the subsidiaries. The scheme is subject to statutory and regulatory approvals, including sanction by the National Company Law Tribunal, Mumbai Bench.
